Allen & Gledhill and A&O Shearman have advised on a proposed USD7.8 billion joint venture to build a new 300mm semiconductor wafer manufacturing facility in Singapore.

Allen & Gledhill acted as transaction counsel for joint venture partner Vanguard International Semiconductor Corporation (VIS). The advisory team included partners Richard Young, Zhao Jiawei, Yeo Boon Kiat, Elsa Chen and Peh Aik Hin.

The other joint venture partner, NXP Semiconductors, sought counsel from A&O Shearman. Partner Tess Fang led the firm’s cross-practice, cross-jurisdictional team, with contributions from Matthew Gee and Jackson Allen. Partners Noah Brumfield and Nigel Parker handled antitrust and IP matters, respectively.

NXP is a player in the automotive, industrial and IoT, mobile and communications infrastructure markets, operating in more than 30 countries and reported revenue of USD13.28 billion in 2023.

VIS is a leading specialty integrated circuit foundry service provider, that operates five 8-inch semiconducter plants in Taiwan and Singapore.

This partnership aims to bolster the production of mixed-signal, power management and analogue products, catering to the automotive, industrial, consumer and mobile sectors.
